This Affiliate / Affiliate Partner Program Agreement (“Agreement”) is entered into between:
Opik Web Solutions, operating under the brand name “Opik India” (hereinafter referred to as the “Company”, “Opik India”, “We”, or “Us”)
AND
The individual or entity registering through the Affiliate Partner Program Registration Form (hereinafter referred to as the “Affiliate Partner”, “Partner”, “You”, or “Your”).
By submitting the registration form and accepting the declarations, you agree to be legally bound by this Agreement.
1. Independent Contractor Relationship
The Affiliate Partner is an independent sales partner and not an employee, agent, franchisee, or legal representative of Opik India.
This Agreement does not create any employer–employee relationship, fixed salary, stipend, travel allowance, reimbursement obligation, or authority to bind Opik India contractually.
The Affiliate Partner operates at their own cost, risk, and discretion.
2. Registration Details & Accuracy
The Affiliate Partner shall provide true, accurate, and complete information including personal/business details, territory, sales capability, and payment details.
Any false or misleading information may result in rejection, suspension, withholding of commission, or termination.
Opik India reserves the right to verify identity and documents at any time.
3. Scope of Promotion & Services
The Affiliate Partner may promote all services offered by Opik India, including website development, ERP/SaaS solutions, digital marketing, branding, and future services.
Commission shall be calculated on the total value of sales successfully completed and received by Opik India.
The Affiliate Partner shall not misrepresent pricing, features, timelines, guarantees, or authority.
4. Field Sales Territory & Coverage
Territory details submitted are for reference only and do not guarantee exclusivity.
Opik India may appoint multiple partners in the same area at its discretion.
5. Online Promotion
Online promotion is optional and permitted only through ethical and non-deceptive methods.
The Affiliate Partner shall not run misleading ads, impersonate Opik India, or misuse trademarks.
6. Lead Validation & Sales Attribution
A sale is eligible for commission only when the lead is verified, payment is successfully received, and no refund exists.
Opik India holds the final authority on lead approval and commission eligibility.
7. Commission Structure
7.5% commission on total sales value from ₹0 to ₹2,00,000.
10% commission on total sales value above ₹2,00,000.
Commission slabs may be revised at Opik India’s discretion with prior notice.
8. Refund & Cancellation Policy
No commission shall be payable if a client requests a refund or cancellation within 15 days of payment.
Any credited commission for such sales shall be reversed or adjusted.
9. Payout Terms
Commission payouts shall be processed within 30–45 days after successful payment and refund verification period.
No minimum payout threshold (₹0).
Taxes shall be deducted as applicable under Indian law.
10. Payment & Compliance
Submission of PAN details is mandatory for payouts.
Opik India is not responsible for delays due to incorrect bank or compliance information.
11. Brand Usage & Intellectual Property
All trademarks, logos, content, and materials are the exclusive property of Opik India.
Brand usage rights are limited and automatically revoked upon termination.
12. Confidentiality
All business, pricing, and client information is confidential and must not be disclosed or misused.
13. Termination
This Agreement may be terminated by either party at any time.
Opik India may terminate immediately in case of breach, misconduct, or misrepresentation.
14. No Income Guarantee
This is a commission-only program with no guaranteed income.
15. Employee Exclusion
This Affiliate Partner Program is strictly not available to any individual who is currently employed by Opik Web Solutions / Opik India, whether on a full-time, part-time, contractual, internship, or consultancy basis.
Any registration found to be made by a current employee shall be immediately rejected or terminated, and no commission shall be payable.
Former employees may apply only after a cooling-off period, subject to explicit written approval from Opik India.
16. Limitation of Liability
Opik India shall not be liable for partner expenses, loss of income, or third-party claims.
17. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India.
18. Acceptance
By submitting the registration form and accepting the declarations, the Affiliate Partner confirms full acceptance of this Agreement.
